Start-up notification - limited liability companies
A limited liability company comes into being when it is registered at the Finnish Trade Register. For registration, you must file a start-up notification.
Using the same notification form, you can register with the VAT Register, Employer Register, and Prepayment Register, which are maintained by the Finnish Tax Administration.
An online notification is cheaper than a paper notification
You can file a start-up notification for a limited liability company either online or using a paper form.
There is a handling fee for registering a start-up at the Trade Register. An online notification is cheaper than a paper notification. The online service automatically calculates the fee, and you pay the fee after signing the notification.
You can set up a limited liability company online. The service is available in Finnish and in Swedish.
The online service automatically creates a memorandum of association and articles of association for your company.
You can use the online service
- if the share capital is zero euros.
- if the subscription price of the shares is zero euros.
- if standard articles of association are sufficient for the company.
if all share subscribers and members of the board of directors are adults, and they and the managing director, if any, have a Finnish personal identity code and either personal internet banking codes, a mobile certificate, or an electronic identity card (HST card).
if auditors, holders of procuration and persons authorised to represent the company, if any, have a Finnish personal identity code.

What details do I need to set up a limited liability company online?
You must report the following details to set up a limited liability company online:
- its company name, line of business, financial period, place of registered office, and auxiliary company names and their lines of business, if any
- the names and personal identity codes of shareholders, members of the board of directors, and the managing director, if any
the names and personal identity codes of auditors, holders of procuration or persons authorised to represent the company, if any
How to get a Business ID?
You will get a Business ID for your company and a record number for your notification, once you have made all the electronic signatures and paid the handling fee online to the Trade Register. If you also report an auxiliary company name to the Trade Register, you must pay a separate handling fee.
After setting up your company: file details of beneficial owners
The PRH sends a register extract about the registration of your company by post when the start-up notification has been registered.
After the registration of your limited liability company, please note that you have to file the details of actual beneficial owners with the Trade Register. The notification of beneficial owners is free of charge. Read more about filing details of beneficial owners.
