Attorney’s right to sign notifications online at ytj.fi
Attorneys can sign some notifications filed with the Finnish Trade Register without needing a separate authorisation in the ytj.fi service. This facilitates the filing of notifications when the company uses a lawyer.
What kind of attorney is allowed to sign?
Attorneys who are members of the Finnish Bar AssociationAvautuu uuteen välilehteen may sign notifications online at ytj.fi.
Attorneys must have a power of attorney from the company. Do not attach the power of attorney to the notification.
A power of attorney can only be given by a person responsible for the company who has the right to sign notifications filed with the Finnish Trade Register. For example, holders of procuration or persons authorised to sign for the company cannot give a power of attorney.
Please note that a person responsible for the company (such as a member of the board of directors or the managing director) may always sign notifications. Read more about how responsible persons sign online at ytj.fi.
What notifications can an attorney sign?
At the moment, an attorney can sign the following notifications in the online service at ytj.fi:
- Start-up notification for a limited liability company and a public limited company (you must add the drafted start-up notification and articles of association yourself)
- Notifications related to a merger
- Notifications related to a demerger
- Notifications related to a transfer of registered office from one EEA country to another
- Notifications of changes submitted by a housing company belonging to the Residential and Commercial Property Information System
- Notifications of changes submitted by a mutual real estate limited company belonging to the Residential and Commercial Property Information System
Later, attorneys will also have the right to sign other notifications filed online at ytj.fi.
Please note the following:
- In a start-up notification of a limited liability company, an attorney may also submit evidence on the payment of shares and a statement confirming that the Finnish Limited Liability Companies Act has been complied with after sending the notification.
- An attorney cannot sign a guided set-up package for a limited liability company, in which the service creates a memorandum of association and articles of association.
How to proceed in the online service at ytj.fi
An attorney can sign a notification as follows:
- When you approve the notification, select the option allowing an attorney to sign the notification.
- If you do not sign the notification yourself, write down the notification number and give it to the attorney.
- The attorney logs into the online service at ytj.fi and searches for the notification by entering the notification number.
- The attorney confirms that they have a power of attorney to act on behalf of the company.
- The attorney signs the notification by selecting ”
Kyllä, allekirjoitan ” or ”Ja, jag undertecknar ” (Yes, I sign). - The attorney or someone else pays the fee and submits the notification.
Please note that if you are entitled to sign the notification yourself (for instance, as a member of the board of directors), you cannot select an attorney to sign the notification.
What do I need to log in?
Log in to the online filing service at ytj.fiAvautuu uuteen välilehteen in Finnish or Swedish using Suomi.fi e-Identification. You need a Finnish personal identity code and a Finnish means of identification (such as internet banking codes or a mobile certificate).
