Start-up notification - limited liability companies

‍A limited liability company comes into being when it is registered at the Finnish Trade Register. For registration, you must file a start-up notification subject to a fee.

Using the same notification form, you can register with the VAT Register, Employer Register, and Prepayment Register, which are maintained by the Finnish Tax Administration.

Start a limited liability company in the online service at ytj.fi

Start a limited liability company in the online service at ytj.fi. Please note that the service is only available in Finnish and Swedish. You can choose from two alternatives, see below.

Please note: a person under 18 years of age cannot start a limited liability company online. In this case, file the notification using paper forms, see further down the page.

Alternative A: Guided set-up package (documents are created by the service)

Select the guided set-up package in the following cases:

  • There is no subscription price for the shares, and the share capital is 0 euros.
  • All the shareholders are adults.
  • The persons you have filed have Finnish person identity codes (the shareholders and the members of the board of directors, as well as the managing director, auditor, holders of procuration and representatives, if any).
  • Standard articles of association are sufficient.

The service creates a memorandum of association and standard articles of association.

Alternative B: Start-up notification (you will add drafted documents yourself)

Select the start-up notification in the following cases:

  • The company has share capital.
  • The shareholders include companies or other organisations.
  • The persons you have filed do not all have a Finnish person identity code (the shareholders and the members of the board of directors, as well as the managing director, auditor, holders of procuration and representatives, if any).
  • The company to be incorporated is a public limited company (Plc).

You will add the drafted documents and the articles of association in the service.

Use the same notification to file beneficial owner details in the online service at ytj.fi

When you start a limited liability company in the online service at ytj.fi, you provide at the same time details of  actual beneficial owners (the persons who have ownership interest or control in the company).

EU financing has been used to implement filing beneficial owner details as a part of starting a limited liability company in the online service at ytj.fi.

How to get a Business ID?

You will get a Business ID for your company and a record number for your notification, once you have signed, paid and sent the notification in the online service at ytj.fi.

Start-up notification using our paper forms

You can also use our paper forms to start a limited liability company. Please note that if you file your notification using the paper forms, the processing time will be longer and the fee will be higher than when filing online at ytj.fi.

Please note the following: If you start a limited liability company using paper forms, you must, after the registration of a new company, file a separate notification of the persons who have ownership interest or control (so-called actual beneficial owners) in the company. You can use our set-up package. In addition to the required notification forms, the set-up package contains document templates for the memorandum of association and the articles of association as well as instructions. The shares must be paid using money.

If you already have the memorandum of association and other required documents completed, or the set-up package is otherwise unsuitable for you, file your notification using form Y1, appendix form 1 and the personal data form.
